Compensation Committee
The Compensation Committee is comprised of Messrs. Fleming (Chairman) and Meyers and Dr. Evnin.
The Compensation Committee is responsible for reviewing, approving and making recommendations to the Board of Directors with respect to: the compensation of our directors, our Chief Executive Officer and our other executive officers; and the adoption, modification or termination of incentive-compensation plans and equity-based plans. The Compensation Committee also oversees the administration of our equity-based plans, which includes interpreting the terms thereof and granting options and making stock awards thereunder.
The Compensation Committee also has the authority to commission compensation surveys and to retain consultants to assist in evaluating executive officer compensation. The Compensation Committee has the authority to retain independent legal, accounting or other advisors. The Compensation Committee operates pursuant to a charter, which has been duly adopted by the Board of Directors.
