The Nominations Committee is comprised of: Dr. Evnin (Chairman), Mr. Fleming.
The Nominations Committee is responsible for: reviewing with the Board of Directors, on an annual basis, the requisite skills and criteria for new members of our Board of Directors as well as the composition of the Board of Directors as a whole; identifying and nominating candidates for membership to our Board of Directors; recommending to the Board of Directors, the directors to be appointed to each committee of the Board of Directors and as the Chair of each committee; and overseeing an annual self-evaluation of the Board of Directors.
The Nominations Committee has the authority to retain search firms to be used to identify director nominees and also has the authority to retain independent legal, accounting or other advisors. The Nominations Committee operates pursuant to a charter, which has been duly adopted by the Board of Directors.
